Hi Elevation Labs is a consumer-facing dietary supplement brand operated by Hi Elevation Media LLC, a California limited liability company. The terms “we,” “us,” and “our” refer to Hi Elevation Media LLC, doing business through the Hi Elevation Labs brand.
We operate this store and website, including all related information, content, features, tools, products, and services, in order to provide you, the customer, with a curated shopping experience (collectively, the “Services”). Our online store is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with our Privacy Policy, Return and Refund Policy, Shipping Policy, and any other policies referenced herein, describe your rights and responsibilities when you access or use the Services.

An automated order confirmation does not necessarily mean that we have accepted your order. We must receive and process payment before an order is accepted for fulfillment.

You may request cancellation before an order has been fulfilled or shipped. Cancellation requests are not guaranteed. Once an order has entered fulfillment, been packaged for carrier pickup, or shipped, it may no longer be canceled and must follow our Return and Refund Policy.
If we reject, modify, hold, or cancel an order, we may attempt to notify you using the email address, billing address, shipping address, or telephone number provided with the order.
If we cancel an order after payment has been collected, the applicable amount will be refunded to the original payment method.

Unless we provide written authorization otherwise, products purchased through the Services are intended for personal or household use and may not be purchased for unauthorized commercial resale or export.
SECTION 5 - PRICES AND BILLING
Prices, discounts, promotions, shipping rates, and product availability are subject to change without notice.
The price charged will generally be the price displayed when the order is submitted, subject to correction of errors and successful payment authorization.

We reserve the right to correct pricing, discount, tax, shipping, inventory, or product-information errors and to cancel an affected order where permitted by law.
SECTION 6 - SHIPPING AND DELIVERY
We currently ship only to eligible addresses within the United States unless otherwise stated at checkout.
Available shipping services, rates, and estimated delivery times are displayed at checkout and are subject to availability.
Order processing time is separate from carrier transit time.
All delivery dates and transit times are estimates only and are not guaranteed.
Delays may occur because of weather, carrier disruptions, seasonal demand, transportation issues, incorrect addresses, public emergencies, or other circumstances outside our reasonable control.
Customers are responsible for providing a complete and accurate shipping address.
Address changes are not guaranteed after an order has entered processing or fulfillment.
Tracking information may take time to update after a package has been transferred to the carrier.
Responsibility for loss, damage, delayed delivery, or misdelivery will be determined in accordance with applicable law and our Shipping Policy.
Nothing in these Terms limits any rights or remedies that cannot lawfully be limited under applicable consumer-protection law.

SECTION 7 - INTELLECTUAL PROPERTY
The Services, including all trademarks, brand names, logos, product names, slogans, text, displays, graphics, photographs, product images, videos, audio, reviews, website design, layout, selection, and arrangement, are owned by, licensed to, or used with permission by Hi Elevation Media LLC, Hi Elevation Labs, their affiliates, or licensors.
Such materials are protected by United States and international copyright, trademark, patent, trade dress, and other intellectual-property laws.
These Terms allow you to use the Services only for lawful, personal, and non-commercial purposes.

Hi Elevation Labs names, logos, product names, designs, slogans, and related brand assets are trademarks or brand assets owned by, licensed to, or used with permission by Hi Elevation Media LLC.
You may not use such marks without prior written authorization.
Shopify’s name, logo, product names, service names, designs, and slogans are trademarks of Shopify.
All other names, marks, and logos appearing through the Services belong to their respective owners.
SECTION 8 - OPTIONAL TOOLS
We may provide access to tools, applications, integrations, or services offered by third parties.
We do not necessarily monitor, control, endorse, or have input into such third-party tools.

SECTION 10 - RELATIONSHIP WITH SHOPIFY
Hi Elevation Labs is powered by Shopify, which enables us to provide the Services to you.
However, all sales and purchases made through our Store are made directly between you and Hi Elevation Media LLC, operating through the Hi Elevation Labs brand.
Shopify is not the seller of our products and is not responsible for any aspect of a sale between you and us, including any injury, damage, loss, product issue, refund request, shipping issue, or customer-service matter arising from products purchased through our Store.
To the fullest extent permitted by law, you release Shopify and its affiliates from claims, damages, and liabilities arising directly from purchases and transactions between you and Hi Elevation Media LLC, except to the extent such release is prohibited by applicable law.

If we cancel an order after collecting payment, we will refund the applicable amount to the original payment method.

We reserve the right to suspend, restrict, disable, or terminate access if we reasonably believe these Terms have been violated.

An “Agent” means software or a service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, a person or entity.

We may restrict or prevent Agent access through technical or other measures.

• Identify that requests originate from an Agent
• Disclose the Agent’s name in the applicable user-agent string
• Not conceal or misrepresent that activity is automated

• Not bypass CAPTCHAs or similar protections
• Respond truthfully to requests intended to determine whether activity originates from a human or automated system
• Not circumvent measures intended to block, restrict, modify, or control Agent access

We may terminate these Terms or suspend or terminate your access to all or part of the Services if you violate these Terms, create risk or legal exposure, engage in fraudulent activity, misuse the Services, or where termination is otherwise permitted by law.
You remain responsible for all amounts properly due through the date of termination.
Sections that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, feedback, disclaimers, limitation of liability, indemnification, governing law, privacy, and dispute-related obligations.
SECTION 17 - DISCLAIMER OF WARRANTIES

THIS INCLUDES IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN SUCH JURISDICTIONS, THE ABOVE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Nothing in these Terms excludes warranties, rights, or remedies that cannot legally be excluded.
SECTION 18 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, HI ELEVATION MEDIA LLC, HI ELEVATION LABS, AND THEIR PARTNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
THIS INCLUDES LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, LOSS OF GOODWILL, REPLACEMENT COSTS, OR SIMILAR DAMAGES ARISING FROM OR RELATING TO:
• YOUR USE OF OR INABILITY TO USE THE SERVICES
• PRODUCTS PURCHASED THROUGH THE SERVICES
• ERRORS OR OMISSIONS IN CONTENT
• INTERRUPTION OR UNAVAILABILITY OF THE SERVICES
• UNAUTHORIZED ACCESS TO INFORMATION
• THIRD-PARTY SERVICES OR LINKS
• OTHER CLAIMS RELATING TO THE SERVICES
THIS LIMITATION APPLIES WHETHER A CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANOTHER LEGAL THEORY, EVEN IF THE POSSIBILITY OF DAMAGES WAS KNOWN.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY WHERE SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
SECTION 19 - INDEMNIFICATION
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Hi Elevation Media LLC, Hi Elevation Labs, Shopify, and their respective affiliates, partners, members, managers, directors, officers, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, costs, and reasonable attorneys’ fees arising from:
• Your material breach of these Terms
• Your violation of applicable law
• Your violation of another person’s rights
• Your unlawful or unauthorized use of the Services
• Feedback or content you submit through the Services
We will provide reasonable notice of an indemnifiable claim.
Failure to provide prompt notice will not relieve you of your obligations unless the delay materially prejudices your ability to defend the claim.
We may control the defense and settlement of a covered claim, but we will not agree to a settlement imposing a non-monetary obligation on you without your consent, which must not be unreasonably withheld.
You agree to reasonably cooperate in the defense of such claims.

If any provision of these Terms is determined to be unlawful, void, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law.
Any unenforceable portion will be severed, and the remaining provisions will remain valid and enforceable.

These Terms, together with policies and operating rules posted through the Services, constitute the entire agreement between you and us concerning your use of the Services.

Any ambiguity will not automatically be interpreted against the party that drafted the provision.

Any unauthorized attempted transfer is void.

These Terms and any separate agreement through which we provide Services are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles.
Subject to applicable consumer-protection laws and any rights that cannot lawfully be waived, disputes arising from or relating to these Terms, the Services, or products purchased through the Services will be brought in the appropriate state or federal courts located in Los Angeles County, California.
You and Hi Elevation Media LLC consent to the personal jurisdiction and venue of those courts.
Nothing in this section limits any right you may have under applicable law to bring a claim in another legally permitted forum.
